1. Acceptance of Terms

By downloading, installing, or using VinoReel (“the App”), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the App.

You confirm that:

• You are at least 17 years of age
• You have the legal capacity to enter into these Terms
• You will use the App in compliance with these Terms and applicable laws

2. Description of Service

2.1 Core Features

VinoReel provides:

• Wine Collection Management: Create, organize, and browse wine cards in a carousel interface
• Wine Photos: Capture and store wine label photos with your camera or photo library
• AI Label Analysis: Optional AI-powered wine label recognition using OpenAI's vision API
• Wine Details: Record wine titles, descriptions, and other details
• Photo Gallery: Browse all wine photos in a unified gallery view

2.2 Local-First Design

VinoReel is designed as a local-first application:

• All wine data and photos are stored on your device
• No user accounts or cloud sync required
• The app functions fully offline (AI analysis requires an internet connection)

3. User Responsibilities

3.1 OpenAI API Key

To use the AI label analysis feature, you must provide your own OpenAI API key. You are responsible for:

• Obtaining and managing your OpenAI account
• All usage charges incurred through your API key
• Keeping your API key secure and not sharing it
• Complying with OpenAI's terms of service and usage policies

3.2 Appropriate Use

You agree NOT to:

• Use the App for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or hack the App
• Use the App to process content that violates OpenAI's usage policies
• Share or distribute copyrighted content obtained through the App

4. AI Analysis Disclaimer

5. Your Content

You retain full ownership of:

• Wine photos you capture or import
• Wine card data you create (names, notes, descriptions)
• Any content you share through the system share sheet

VinoReel does not claim any rights to your content. Your data stays on your device unless you explicitly share it or trigger AI analysis.

6. Intellectual Property Rights

VinoReel and its original content, features, design, and functionality are owned by Pavel Gnatyuk and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial wine collection management.

7. Privacy and Data Protection

Your use of VinoReel is also governed by our Privacy Policy. Key points:

• All wine data and photos are stored locally on your device
• Your OpenAI API key is stored securely in the iOS Keychain
• Wine photos are sent to OpenAI only when you explicitly trigger AI analysis
• We do not collect analytics, track usage, or display advertisements
• You can delete all data by removing the App

8. Third-Party Services

8.1 OpenAI

The AI analysis feature relies on OpenAI's API. By using this feature, you acknowledge that:

• Up to three wine photos are transmitted to OpenAI's servers for processing
• You are bound by OpenAI's Terms of Use
• The Developer is not responsible for OpenAI's data handling practices
• API availability and pricing are determined by OpenAI

8.2 iOS and App Store

These Terms are between you and the Developer, not Apple Inc. Apple has no obligation to provide maintenance or support services for the App.

9. Disclaimers and Limitations of Liability

9.1 “As Is” Basis

VinoReel is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated wine information.

9.2 Limitation of Liability

To the fullest extent permitted by law, the Developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of wine data or photos
• Financial losses from incorrect AI-generated wine information
• OpenAI API charges incurred through your use of the App
• Decisions made based on AI analysis results

10. Indemnification

You agree to indemnify and hold harmless Pavel Gnatyuk from any claims, damages, losses, liabilities, and expenses arising from your use or misuse of the App, your violation of these Terms, or your use of the OpenAI API through the App.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes through app updates and updating the “Effective Date” at the top of these Terms. Continued use constitutes acceptance.

12. Termination

You may terminate these Terms at any time by deleting the App from your device. We may suspend or terminate your access if you violate these Terms or use the App for illegal purposes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from these Terms shall be resolved in the competent courts of Netanya, Israel.
